Dangote Refinery raises $2.5 billion in private equity placement

Dangote Petroleum Refinery and Petrochemicals (DPRP) has successfully concluded a landmark $2.5 billion private equity placement, marking what is believed to be Africa’s largest publicly disclosed primary equity private placement by value.

The company announced last Thursday that the offering attracted exceptional investor confidence, achieving 3.7 times the initial subscription target before resulting in the issuance and allotment of approximately $2.5 billion in new equity.

The transaction represents the refinery’s first equity capital raise involving external investors beyond its existing shareholder base and is expected to significantly strengthen its long-term financing strategy while contributing to the continued development of Africa’s capital markets.

According to the company, proceeds from the capital raise will support the continued expansion of the refinery and petrochemical complex, reinforce its capital structure and provide greater financial flexibility to finance future growth initiatives.

The offering drew participation from a broad spectrum of international and African institutional investors, sovereign-related investment vehicles, development finance institutions and strategic partners.

Among the notable participants were Africa Finance Corporation (AFC) and India Infra Buildco, an investment vehicle facilitated by the African Export-Import Bank (Afreximbank). The company said the broad participation reflected strong investor confidence in Dangote Refinery’s long-term business strategy and growth prospects.

Commenting on the successful transaction, Aliko Dangote, president of Dangote Industries said the fundraising was a major milestone in the company’s expansion journey.

He said the investment would broaden and institutionalise the company’s shareholder base while complementing internally generated funds and external financing required to support its expansion plans.

Dangote added that the successful capital raise reinforces the company’s commitment to expanding Africa’s domestic refining and petrochemical capacity, reducing dependence on imported refined petroleum products and strengthening the continent’s energy security.

David Bird, DPRP’s managing director, attributed the strong investor response to the refinery’s operational performance and execution capability.

“The exceptional demand we saw is a testament to our operational excellence, execution capacity, and investor confidence in DPRP’s leadership,” Bird said.

Following the completion of the private placement, the refinery said it is well positioned to continue executing its long-term growth strategy while expanding world-class refining and petrochemical capacity across Africa.

The company noted that the overwhelming investor response underscores confidence in its long-term value creation strategy and strengthens its ambition to play a leading role in improving Africa’s energy security.

Dangote Petroleum Refinery and Petrochemicals also acknowledged the contributions of its professional advisers whose support helped deliver the successful transaction.

The successful equity placement comes as the Dangote Refinery continues to expand its operations and position itself as one of Africa’s most significant industrial investments, with the capacity to transform regional energy markets, reduce fuel import dependence and support industrialisation across the continent.
